SEVEN HEADS YACHT CHARTER LTD.

Seven Heads Yacht Charter Ltd. proposes to purchase up to ten Grand Soleil or Dufour yachts for short-term charter in Irish waters, under a Business Expansion Scheme (BES). This investment will be spread over three seasons 2008 to 2010. (Tax years 2007 to 2013)
The yachts will be managed by 'Sail Ireland' from their base in Kinsale, County Cork for the five-year period of the BES. Yachts may also be based in Dingle, County Kerry and the new marina being built in Galway City.

COSTS

Investors may choose from the range of yachts above from 32 ft to 48 ft. All monies raised will be used to purchase the yachts. The cost of the three year Marketing Plan as submitted to 'Failte Ireland' and all other running costs to include Insurance, Maintenance, Marina and Administration charges will be paid by the core business of bareboat Charter.

BORROWINGS

No borrowings or charges will be allowed on the yachts without the written permission of the Shareholders.

BES INVESTMENT

It is proposed to raise up to €2,000,000 in BES funds over the period 2007/2010. Investments are invited from Individuals or Syndicates to purchase the yacht of their choice. An individual may invest €150,000 per annum. The purchase may be spread over two tax years.

An investor who cannot obtain relief on his/her investment in the year of assessment can carry forward the unrelieved amount to following years up to and including 2113.

The Shareholders will wholly own the BES company. There will be a Management agreement with Sail Ireland, which will set out the responsibilities of each party.


OFF SEASON CHARTER OPP0RTUNITIES

Investors may charter the yachts when not in use or during the off-season at considerable reduced rates, minimum two weeks per yacht.

END BES PERIOD

At the end of the BES period (5 years from investment) a mechanism shall be in place where the ownership of the yacht will be transferred to the Investor/Syndicate Vat paid.
